Brand & Client Hire Agreement

Between Elite Lohi Management Ltd ("Agency") and the Client named below

Effective date: 1 August 2026

1. Engagement

The Client engages Elite Lohi Management Ltd to identify, introduce, and facilitate the booking of talent for the Client's project, campaign, or event as described in the relevant booking enquiry.

2. Agency Role

The Agency acts as an intermediary between the Client and talent. The Agency does not guarantee the availability of any specific talent and will use reasonable endeavours to fulfil the Client's requirements.

3. Fees

The Client agrees to pay the fees quoted by the Agency for each confirmed booking. Fees are inclusive of the Agency's 5% commission charged to talent. No additional commission is charged to the Client unless otherwise agreed in writing.

4. Payment Terms

Payment is due within 14 days of invoice unless otherwise agreed. Late payments may attract interest at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.

5. Cancellation

Cancellations made more than 7 days before the booking date: no charge. Cancellations within 7 days: 50% of the agreed fee. Cancellations within 48 hours or no-shows: 100% of the agreed fee.

6. Usage Rights

Usage rights for any content created during a booking are agreed separately in writing between the Client and the individual talent. The Agency does not grant any intellectual property rights on behalf of talent.

7. Conduct

The Client agrees to treat all talent with respect and professionalism. The Agency reserves the right to withdraw talent from a booking if the Client's conduct is deemed inappropriate or unsafe.

8. Confidentiality

Both parties agree to keep the terms of individual bookings confidential and not to disclose them to third parties without prior written consent.

9. Governing Law

This Agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

This is a legally binding digital agreement. Your name, email address, IP address, and the date and time of signing are recorded as your electronic signature under the Electronic Communications Act 2000.
